Board Member Guidelines

   

FRANKLINTOWN COMMUNITY ASSOCIATION, INC. BYLAWS  
(Last Amended: 
November 20, 2003)

ARTICLE I – NAME

The Name of the Association shall be the Franklintown Community Association, Inc.

ARTICLE II – PURPOSE

The purpose of the Franklintown Community Association, Inc. shall be to eliminate prejudice and discrimination; to defend human and civil rights; to combat community deterioration and eliminate neighborhood tensions; to maintain, improve and protect the area; to enhance the quality of life for all in the community; and to promote such other purposes as shall be of general concern to the members.

ARTICLE III – BOUNDARIES

The Boundaries of the Association are Leakin Park on the east and south, Security Boulevard on the south and west, Lorraine Park Cemetery and Loraine Drive on the west, and the northern boundary of Kernan Hospital, Hillhouse Road, Forest Park Avenue, Dickey Hill Road, Corley Road, Tucker Lane, Windsor Mill Road and Hutton Avenue to Leakin Park on the north.  Our area meets the Dickeyville area on the north and includes both sides of all boundary roads.

ARTICLE IV – MEMBERSHIP

All residents, property owners, and business owners in the area circumscribed by the boundaries in Article III are eligible to become members of the organization.

ARTICLE V – OFFICERS

The officers of the Association shall be a President, Vice President, Secretary, and Treasurer.

Section 1. President – The duties of the President shall be to arrange for meetings of the Association, to conduct these meetings, to appoint Board members, officers, or committees as needed, and to supervise the affairs of the Association.

Section 2. Vice-President – The duties of the Vice-President shall be to act for the President in his/her absence and to assist the President with duties as delegated.

Section 3. Secretary – The Secretary shall take care of such communications as are necessary, including notices of meetings.  The Secretary shall keep minutes of all meetings of the Association, and shall be responsible for the safe keeping of the bylaws and other documents of the Association.

Section 4. Treasurer – The Treasurer shall collect the contributions and other income of the Association, pay such bills as are incurred by the Association, keep records of all financial transactions, and submit a financial report at each meeting.

ARTICLE VI – BOARD OF DIRECTORS

The Board of Directors shall consist of the officers of the Association, standing committee chairs, and up to ten members at large.

The duties of board members shall be to attend monthly board meetings, attend and participate in general meeting and to support decisions made by the board.

ARTICLE VII – ELECTIONS

Those elected shall serve for two years.  There shall be an election of the officers and Board members at large at the annual meeting. 

The President and Officers shall appoint a nominating committee in March of each election year.  The membership shall be notified of the slate of nominees at least 14 days prior to the annual meeting by means of a newsletter.  Additional nominations may be made from the floor with the prior written consent of the persons nominated.

ARTICLE VIII – MEETINGS

An annual meeting is to be held in May of each year.  In addition, the President may call other meetings, with the approval of two other Board members, or at the request of any five members.  The membership shall be given notice by means of a newsletter.

In general, Robert’s Rules of Order, newly revised, shall be followed in the conduct of the meetings.

ARTICLE IX – VOTING

Each dues-paying member of the Association eighteen (18) years of age or older, and not living in an apartment complex large enough to have its own tenants/members Association shall be permitted the right to vote and to hold office in the Association.

Members must be present at a meeting in order to vote.  A simple majority of those present and voting shall be necessary to carry a motion.

ARTICLE X – FINANCES

The Association shall be supported by membership fees, by voluntary contributions, and by such fund-raising activities as may be set by the Board.

ARTICLE XI – ASSOCIATION ACTIVITIES

No part of the net earnings of the Association shall inure to the benefit of any private individual.  No substantial part of the activities of the Association shall be the carrying on of propaganda, or otherwise attempting to influence legislation.  The Association shall not participate in or intervene in (including the publishing or distributing of statements) any political campaign on behalf of or in opposition to any candidate for public office.

ARTICLE XII – DISPOSITION OF ASSOCIATION ASSETS

In the event of the dissolution of the Franklintown Community Association, Inc., the assets and property belonging to it shall be distributed to such organizations as may be designated by the Board of Directors, provided that such organization(s) shall have tax exempt status under section (c) 30 of the Internal Revenue Code of 1954 or under comparable provisions of the then current Federal Revenue Law.

ARTICLE XIII – AMENDMENTS

Proposed Amendments to the bylaws must be submitted in writing to the Board of Directors and be made available in writing to the general membership at least 14 days prior to the general meeting at which they will be voted on.  They must be approved by the Board of Directors and the general membership at a general meeting in accordance with the voting procedures stated in Article IX.
